Power of Attorney for Property in India

A Power of Attorney (PoA) is a legal instrument that authorises one person (the agent or attorney-in-fact) to act on behalf of another (the principal) in specified legal and financial matters. In the context of Indian real estate, a PoA is commonly used when the property buyer or seller cannot be physically present for registration, documentation, or other transaction-related activities.

Types of Power of Attorney

  • General Power of Attorney (GPA): Grants broad authority to the agent to handle multiple types of transactions on behalf of the principal. A GPA can cover property management, financial transactions, and legal proceedings. However, a GPA alone does not transfer ownership of property.
  • Special Power of Attorney (SPA): Limited to a specific transaction or property. For example, an SPA may authorise the agent solely to execute the sale deed for a particular flat. This is the more common and recommended form for property transactions.

PoA for NRI Property Buyers

For NRI property buyers, the Power of Attorney is an essential tool. Since NRIs may not be able to travel to India for every step of the purchase process, they can appoint a trusted family member or representative through a PoA to handle registration, payments, and documentation on their behalf.

Execution Process for NRIs

  1. Draft the PoA document: Work with a qualified Indian lawyer to draft the PoA with specific powers relevant to your property transaction.
  2. Notarisation: Get the PoA notarised by a public notary in your country of residence.
  3. Apostille: For countries that are part of the Hague Convention, the PoA must be apostilled by the designated government authority. For non-Hague countries, attestation by the Indian Embassy or Consulate is required.
  4. Adjudication in India: Once received in India, the PoA must be adjudicated (stamped) within the prescribed timeframe as per the state's stamp duty requirements.
  5. Registration: If the PoA relates to immovable property, it should be registered with the Sub-Registrar in the jurisdiction where the property is located.

Important Legal Considerations

  • A PoA does not transfer ownership. Property sale through GPA without a registered sale deed is not considered a valid transfer by the Supreme Court of India.
  • The PoA can be revoked by the principal at any time by executing a revocation deed and informing the agent and relevant authorities.
  • A PoA becomes invalid upon the death of the principal.
  • Stamp duty on PoA varies by state. In Uttar Pradesh, the stamp duty for a PoA authorising property sale is Rs 100 for family members and higher for non-family members.
